Welcome to deli.gallery! These Terms of Service ("Terms") govern your access to and use of our website and services. By using deli.gallery, you agree to these Terms. If you do not agree, please do not use our services.

1. Acceptance of Terms

By creating an account or otherwise using deli.gallery, you acknowledge that you have read, understood, and agreed to these terms. If you do not agree to all or part of these terms, please do not create an account or use the services in any manner. If you are using deli.gallery on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.

By using deli.gallery, you represent that you are at least 18 years old or the age of majority in your jurisdiction, or you have obtained parental or guardian consent to use the platform.

2. Description of Services

deli.gallery provides a platform for photographers and filmmakers to upload, organize, and deliver photos and videos to their clients. Every plan includes every feature of the service; plans differ only in the storage they provide.

3. User Accounts & Security

In order to access certain services on deli.gallery, you will need to create an account and set a password. This can be done by completing our online registration form, which requires you to provide certain information ("Registration Data"). You agree that all information provided in the Registration Data is accurate, complete, and current, and you will update it as necessary.

By registering, you acknowledge that the information collected through your use of this site, including your Registration Data, is subject to our Privacy Policy, which is incorporated by reference into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. If you suspect unauthorized use of your account, you agree to notify us immediately.

Studios and other businesses may use one account for their team, on the same plans and prices as anyone else. The account holder is responsible for everyone who signs in with the account's credentials.

Galleries on a paid account stay online for as long as the account is paid, whether or not you sign in. Free accounts that remain inactive for 12 months may be deleted, together with their galleries. We will notify you via email before taking any action.

We shall not be liable to you or any third party for any claims or damages arising out of any termination or suspension or any other actions taken by us in connection with such termination or suspension.

4. User Content & Conduct

You retain ownership of any photos, videos, or other content you upload to deli.gallery.

You must have the legal right to upload and share any content on the platform.

You may not upload, share, post, or distribute any content that:

Is unlawful, threatening, abusive, harassing, defamatory, deceptive, fraudulent, or invasive of another's privacy.
Contains explicit or graphic depictions of sexual acts or offensive material.
Victimizes, harasses, degrades, or intimidates others based on religion, gender, sexual orientation, race, ethnicity, age, or disability.
Infringes on any intellectual property or proprietary rights.
Constitutes unauthorized advertising, spam, or fraudulent solicitations.
Contains malicious software, viruses, or harmful code.
Impersonates any person or entity.

We reserve the right to remove any content that violates these Terms or is otherwise objectionable. Repeated violations may result in account suspension or termination.

We also reserve the right to report any illegal activity or content to the appropriate authorities and cooperate fully in any investigation.

5. Prohibited Activities

You agree not to:

Use deli.gallery for spam, harassment, or unauthorized commercial activities.
Attempt to disrupt or harm our platform, users, or security measures.
Attempt to gain unauthorized access to another user's account or data.
Reverse engineer, decompile, or otherwise attempt to extract the source code of deli.gallery or any part thereof.

Users who violate these policies may have their accounts suspended or terminated without notice.

6. License Agreement

By using our services, you grant deli.gallery a worldwide, royalty-free, non-exclusive license to host and use your content strictly for the purpose of providing you with our services. You represent and warrant that you have all necessary rights to grant us such a license.

We do not use your photos, films, or the people in them to train AI models, and we do not give them to anyone else for that purpose.

The license granted to deli.gallery will remain in effect for as long as your content is hosted on the platform and will terminate upon deletion of the content or termination of your account.

Although we take reasonable steps to prevent unauthorized copying or distribution of content uploaded to the platform, we do not guarantee that content will not be unlawfully copied without your consent.

You are responsible for any content that you upload to the platform and acknowledge that it may be lost or unrecoverable. We have no obligation to monitor content but reserve the right to remove or refuse to post any content that we deem unacceptable, inappropriate, or in violation of these Terms. If you believe any materials infringe on your copyrighted works, you may submit a copyright complaint to support@deli.gallery.

7. Fair Usage Policy

This policy sets out an acceptable level of conduct relating to the use of our services. It is designed to ensure that the services received by the majority of users are not negatively impacted by potential fraud or abuse.

Each gallery is meant to be created for a single event or job and shared with the client as such.

We reserve the right to charge additional fees to users who exceed fair usage limits, defined as monthly bandwidth usage exceeding three times the amount of storage used for photo galleries, or ten times the amount of storage used for videos. Video bandwidth includes every stream and download of your videos, in any resolution, by you or your clients. If you exceed fair usage limits, we will notify you via email and give you the chance to reduce usage or pay for the extra bandwidth. Failure to comply may result in additional charges or suspension of services.

We also reserve the right to terminate any account immediately if it is determined that there is unlawful, prohibited, abnormal, or excessive use of our services.

8. Payments & Billing

Certain deli.gallery plans and services require payment of fees as stated on the site. You must pay all applicable fees in advance to use any paid products or services. Fees are subject to change, and users will be notified in advance of any pricing adjustments. All fees are in GBP unless otherwise stated and do not include taxes. You are responsible for all applicable taxes related to your use of deli.gallery.

Your subscription to paid services will automatically renew at the end of each billing period unless canceled before the renewal date. You may update or cancel your subscription through your online dashboard. Refunds are not provided except at our sole discretion or as required by law.

By continuing your subscription, you authorize deli.gallery to charge your designated payment method for the applicable fee upon renewal. If a payment fails, we reserve the right to suspend or terminate your access to paid services. If you cancel your subscription or a payment fails, your galleries stay available for 30 days so you and your clients can download your originals; after that, stored content may be deleted. If we terminate your account for a breach of these Terms, stored content may be removed immediately. We are not liable for any data loss resulting from account termination.

If you initiate a chargeback without first contacting deli.gallery to resolve the issue, your account may be suspended or terminated, and you may be liable for any associated fees.

9. Termination

You agree that we may, in our sole discretion, terminate or suspend your access to all or part of the site with or without notice and for any reason, including, without limitation, breach of these Terms of Service. Any suspected fraudulent, abusive, or illegal activity may be grounds for terminating your relationship and may be referred to appropriate law enforcement authorities.

Upon termination or suspension, regardless of the reasons therefore, your right to use the services available on this site immediately ceases, and you acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or this site.

10. Disclaimers & Limitation of Liability

IN NO EVENT SHALL DELI.GALLERY OR OUR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND ON ANY THEORY OF LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THIS SITE OR OF ANY WEB SITE REFERENCED OR LINKED TO FROM THIS SITE.

In addition to any excuse provided by applicable law, we shall be excused from liability for non-delivery or delay in delivery of products and services available through our site arising from any event beyond our reasonable control, whether or not foreseeable by either party, including but not limited to, labour disturbance, war, fire, accident, adverse weather, inability to secure transportation, governmental act or regulation, and other causes or events beyond our reasonable control, whether or not similar to those which are enumerated above.

deli.gallery shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, or government actions.

11. Privacy Policy

Your use of deli.gallery is also governed by our Privacy Policy, which outlines how we collect, use, and protect your data. Key points include data collection practices, sharing of your data with third parties, and your rights regarding our data collection and processing.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes via email or through an in-app notification at least 30 days before the changes take effect. Continued use of deli.gallery after changes take effect constitutes acceptance of the new Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of Scotland. Any disputes shall be resolved through arbitration or the appropriate courts in Scotland. You agree to resolve any disputes on an individual basis and waive any right to participate in a class action lawsuit or jury trial.

14. Intellectual Property Rights

All trademarks, logos, and service marks displayed on deli.gallery are the property of deli.gallery or their respective owners. You may not use these marks without prior written permission.

15. Third-Party Services

deli.gallery may integrate with third-party services. Your use of such services is subject to their respective terms and conditions, and we are not responsible for their actions or policies.

16. Indemnification

You agree to indemnify and hold harmless deli.gallery, its affiliates, and their respective officers, directors, and employees from any claims, damages, or losses arising from your use of the platform or violation of these Terms.

17. Miscellaneous

You agree not to sell, resell, reproduce, duplicate, copy, or use for any commercial purposes any portion of this site, or use of or access to this site.

If any part of these Terms of Service is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.

Any failure by us to enforce or exercise any provision of these Terms of Service or related rights shall not constitute a waiver of that right or provision.
